These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether an individual, company, or other entity) and TinySEO Ltd ("TinySEO," "we," "us," or "our"), a company registered in Cyprus under registration number HE 489006.

TinySEO develops and operates the TinySEO application ("App") available through the Shopify App Store, as well as any related services, tools, and content accessible via tinyseo.com (collectively, the "Services"). The Services include, but are not limited to, image optimization, SEO auditing, metadata management, page speed optimization, structured data generation, broken link scanning, blog content tools, and related features.

By installing, accessing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, for material changes, provide reasonable notice (such as an in-app notification or email). Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

1. Account and Eligibility

1.1. You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services.

1.2. To access the Services, you must install the App through the Shopify App Store and have an active Shopify store. Your use of the Services is also subject to Shopify's own terms of service and acceptable use policies.

1.3. If you are using the Services on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In such cases, "you" refers to that entity.

1.4. You are responsible for maintaining the security of your Shopify account and for all activity that occurs through it in connection with the Services.

1.5. You agree that we may use the email address associated with your Shopify account for communication purposes related to the Services, including service announcements, technical notices, and support correspondence.

1.6. TinySEO may terminate your account and discontinue your access to the Services should you materially breach any provision of these Terms, provided that TinySEO gives written notice of the breach and a reasonable opportunity to cure, unless the breach cannot reasonably be cured.

1.7. TinySEO is not responsible for any data loss that occurs as a result of third-party platform or API issues, including but not limited to Shopify platform outages, CDN failures, or third-party service provider errors.

2. Services and Features

2.1. The Services may include, among other features: automated image compression and optimization; SEO metadata management (titles, descriptions, alt text); structured data and JSON-LD schema generation; page speed optimization (lazy loading, script minification); broken link detection and redirect management; sitemap generation; blog and content creation tools; AI-powered content generation; site audit and reporting; and other features as we may introduce from time to time.

2.2. Certain features of the Services involve automated modifications to your Shopify store's theme code, metadata, or content. You acknowledge and accept that these automated modifications carry inherent risk, and you are responsible for reviewing any changes made to your store. We strongly recommend that you duplicate your active theme before enabling any optimization features. TinySEO is not liable for unintended changes to themes that were not duplicated prior to optimization.

2.3. TinySEO may, at its discretion, modify, suspend, or discontinue any feature of the Services at any time. We will use commercially reasonable efforts to provide advance notice of material changes that may affect your use of the Services.

2.4. Features described as using artificial intelligence or machine learning produce outputs that are generated algorithmically. TinySEO does not guarantee the accuracy, completeness, or suitability of AI-generated content, and you are solely responsible for reviewing and approving any such content before it is published on your store. Store data sent to third-party AI providers for processing is not used to train, fine-tune, or improve any AI models — it is used solely for generating the requested output and is not retained by the AI provider beyond the duration of the request.

3. Payments and Billing

3.1. All payments for the Services are processed through the Shopify Billing API. You will not be required to provide payment information directly to TinySEO. All billing, invoicing, and payment processing are managed by Shopify in accordance with Shopify's terms.

3.2. If you subscribe to a paid plan or activate any usage-based features, you will be charged on a recurring basis as described in the relevant plan details within the App or the Shopify App Store listing. Subscriptions renew automatically unless you cancel before the end of the current billing period.

3.3. Plan pricing, features, and usage limits are as described in the Shopify App Store listing and within the App at the time of subscription. TinySEO reserves the right to change pricing for future billing periods with reasonable advance notice.

4. Acceptable Use

4.1. You agree to use the Services only for their intended purposes and in compliance with all applicable laws and regulations, including data protection and privacy laws applicable to your jurisdiction and the jurisdictions of your customers.

4.2. You may not use the Services to: (a) violate any applicable law, regulation, or third-party rights; (b) transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable; (c) interfere with or disrupt the integrity or performance of the Services or any related systems; (d) attempt to gain unauthorized access to the Services, related systems, or networks; (e) reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services; or (f) use the Services in any manner that could damage, disable, overburden, or impair the Services.

4.3. You may not use copyright, trademarks, or other intellectual property in connection with the Services without the written permission of the rights holder.

4.4. TinySEO reserves the right to suspend your access to the Services immediately if we reasonably determine that your use poses a security risk to the Services or other users, or violates any provision of this Section 4.

5. Intellectual Property

5.1. All intellectual property rights in and to the Services, including but not limited to the software, algorithms, design, branding, documentation, and all related materials, are owned by or licensed to TinySEO and are protected by applicable intellectual property laws.

5.2. Subject to your compliance with these Terms, TinySEO grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes in connection with your Shopify store.

5.3. You retain all rights to your own content, including store data, product information, images, and text ("Your Content"). By using the Services, you grant TinySEO a limited licence to access, process, and modify Your Content solely as necessary to provide the Services to you.

6. Data and Privacy

6.1. Our collection, use, and processing of personal data are governed by our Privacy Policy, available at tinyseo.com/privacy-policy.

6.2. In providing the Services, TinySEO may access and process data from your Shopify store, including product data, image files, theme code, and store metadata. This access is used solely to deliver and improve the Services.

6.3. TinySEO implements commercially reasonable technical and organizational measures to protect data processed through the Services. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

6.4. To the extent that TinySEO processes personal data on your behalf, TinySEO acts as a data processor and you act as the data controller. Each party agrees to comply with its respective obligations under applicable data protection legislation, including but not limited to the General Data Protection Regulation (EU) 2016/679 ("GDPR").

6.5. The App does not set, read, or use any cookies on merchant browsers. Shopify's App Store policies prohibit embedded apps from placing cookies, and TinySEO fully complies with this requirement. Cookies used on the tinyseo.com marketing website are described in our Privacy Policy.

6.6. You may request immediate deletion of all personal data held by TinySEO at any time by emailing info@tinyseo.com with the subject line "Immediate Data Deletion Request." TinySEO will process such requests within 72 hours and provide written confirmation upon completion. Immediate deletion is irreversible and bypasses any standard retention periods described in our Privacy Policy.

7. Third-Party Services

7.1. The Services may integrate with or rely upon third-party platforms, APIs, and services, including but not limited to Shopify, Google, and various AI providers. TinySEO is not responsible for the availability, accuracy, or performance of any third-party service.

7.2. Your use of third-party services accessed through the App may be subject to those providers' own terms and conditions. It is your responsibility to review and comply with such terms.

8. Limitation of Liability

8.1. To the maximum extent permitted by applicable law, you assume full responsibility for any loss resulting from your use of the Services. TinySEO will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with these Terms or your use of the Services, regardless of the theory of liability, excluding any damages that arise from TinySEO's gross negligence or intentional misconduct.

8.2. TinySEO's total aggregate liability for all claims arising out of or in connection with these Terms or the Services shall not exceed the total amount you have paid to TinySEO for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

8.3. Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

9. Disclaimer of Warranties

9.1. To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9.2. TinySEO does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

9.3. TinySEO does not warrant that the Services will achieve any particular SEO ranking, page speed score, traffic improvement, or other performance result. Search engine algorithms and ranking factors are outside TinySEO's control.

10. Cancellation and Refunds

10.1. You may cancel your subscription at any time by uninstalling the App from your Shopify store. Cancellation takes effect at the end of the current billing period.

10.2. Refund requests are handled in accordance with Shopify's refund policies for app subscriptions. TinySEO may, at its discretion, offer refunds on a case-by-case basis for unused service periods.

10.3. Upon cancellation, your access to paid features will cease at the end of the current billing period. TinySEO is not obligated to retain your data after cancellation, though commercially reasonable efforts will be made to allow you to export your data before deletion.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless TinySEO and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) Your Content.

12. Customer Data Usage for Success Stories

12.1. TinySEO may use your data, including images, statistics, and other relevant information, solely with your prior written consent in each instance, for the limited purpose of creating customer success stories showcasing your experience with the Services.

12.2. The primary purpose of utilizing customer data for success stories is to highlight real-life use cases, demonstrate the effectiveness of the Services, and provide valuable insights to potential customers about the benefits of using TinySEO. Such use will be limited to the specific scope and duration approved by you in writing.

12.3. We are committed to protecting your privacy and will only use your data for success stories with your prior written consent. If you agree to participate, we may use your company name, logo, and related information to accurately represent your experience with TinySEO. No use of your company name, logo, trademarks, or branding will be permitted without your express written approval for each specific use.

12.4. We understand the sensitivity of customer data and will handle it with the utmost confidentiality. We will not disclose any confidential, sensitive, or proprietary information without your prior consent and will comply with all applicable data protection and confidentiality obligations.

12.5. Before publishing any success story, we will provide you with a draft for review and approval. You have the right to request modifications or withdraw your consent at any stage of the process. No success story will be published without your final written approval.

12.6. TinySEO reserves the right to modify or update this Section 12 at any time. Any material changes to this Section will apply only upon your written acceptance and will not apply retroactively. It is your responsibility to review these Terms periodically for updates.

12.7. Your acceptance of this Section 12 must be expressly confirmed in writing and will not be implied by continued use of the Services.

13. Governing Law and Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of laws provisions.

13.2. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

13.3. Notwithstanding the foregoing, nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14. General Provisions

14.1. Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

14.2. Waiver. No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

14.3. Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TinySEO with respect to the Services and supersede all prior agreements, representations, and understandings.

14.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without TinySEO's prior written consent. TinySEO may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

14.5. Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet or infrastructure failures, or third-party service outages.

14.6. Notices. All notices under these Terms shall be in writing and delivered to the email address associated with your Shopify account (for notices to you) or to the contact details set out below (for notices to TinySEO).
